Breakfast Leadership Show

Guest Interview Release

Last updated October 1, 2026

Please read this Release before your interview. It explains what you own, how the Breakfast Leadership Show may use your recording, name, and likeness, and how scheduling and fees work.

1. Parties and Purpose

This Guest Interview Release and License Agreement (the “Release”) is between Breakfast Leadership, Inc., headquartered at 3230 Yonge St, #4233, Toronto, Ontario M4N 3P6, with an address at 113 W G Street, San Diego, California 92101 (the “Company”), producer of the Breakfast Leadership Show (the “Podcast”), and the individual named in the registration form (the “Guest”). The Company will interview and record the Guest (the “Interview”) for publication on the Podcast.

In this Release:

  • “Episode” means the published Podcast episode featuring the Interview, including its audio, video, transcript, and show notes.
  • “Recording” means the audio, video, and photographs captured during the Interview.
  • “Promotional Clips” means excerpts of the Recording used to promote the Episode or the Podcast.
  • “Guest Content” means the Guest’s own words, ideas, frameworks, methodologies, names, trademarks, and materials as expressed in the Interview or supplied by the Guest.

2. Recording, License, and Ownership

2.1 Consent. The Guest consents to be interviewed and to have the Interview filmed, recorded, and photographed.

2.2 License to the Company. The Guest grants the Company a non-exclusive, worldwide license to edit (subject to Section 3), reproduce, distribute, publicly perform, display, and transmit the Episode and the Recording on the Podcast and its channels, in any medium now existing or later created, for the purpose of publishing and promoting the Episode and the Podcast. The Company is not required to publish the Episode.

2.3 What the Company owns. The Company owns the copyright in the Episode as produced, including the host’s questions, the editing and production, the artwork, and the Podcast’s name and branding.

2.4 What the Guest keeps. The Guest owns all rights in the Guest Content and in the Guest’s own spoken answers. Nothing in this Release is a work made for hire, an assignment of the Guest’s copyright, or a waiver of the Guest’s moral rights.

2.5 Guest reuse. The Guest may reuse the Guest’s own answers, audio, video clips, and verbatim excerpts from the Recording in the Guest’s courses, books, website, social media, and reels, without further permission. Where practical, the Guest will credit the source as the Breakfast Leadership Show and link to the Episode. On request, the Company will provide the Guest a copy of the Recording files within 30 days of publication.

2.6 Limits on the Company’s reuse. The Company will not sell, license, or publish the Guest Content separately from the Episode and its promotion, including in books, courses, or compilations, without the Guest’s separate written consent.

2.7 Appearance fee. The Guest pays the Company’s appearance fee, which is due when the Interview is agreed and scheduled. The fee is non-refundable once paid. If the Company cancels the Interview, or cannot record it, after the Interview has been scheduled and paid for, the Company will issue a credit toward a future Interview date. The credit is valid for 12 months from the date of cancellation. If the Company cannot offer a new Interview date within that period, the Company will refund the appearance fee. The fee reflects the production capacity and booking opportunity the Company reserves for the Interview, and it is a reasonable estimate of the Company’s loss if that slot goes unused. The fee is separate from, and is not consideration for, the Guest’s ownership of the Guest Content, and the Company owes the Guest no royalty for the Company’s permitted uses of the Episode.

2.8 Transfer of the paid slot. A public relations firm or agent that has paid for an appearance may request, in writing before the Interview is recorded, to use the paid slot for another of its clients or guests. Breakfast Leadership, Inc. reserves the right to decline any such request. A substitute guest is bound by this Release once the substitution is confirmed, and no part of the appearance fee is refunded because of a substitution.

2.9 Guest rescheduling, late cancellation, and no-shows. The Guest may reschedule the Interview one time, at no charge, by written notice given at least seven days before the scheduled Interview date, and the fee already paid carries over to the new date. If the Guest cancels with less than seven days’ notice, asks to reschedule a second time, or does not appear for the Interview, the Company keeps the full appearance fee and owes no credit or refund.

3. Editing, Review, and AI

3.1 Editorial control. The Company keeps editorial control of the Episode and may edit for length, clarity, sound quality, and format.

3.2 Accuracy. The Company will not edit or excerpt the Recording in a way that materially changes the meaning of the Guest’s statements or presents them out of context in a misleading manner.

3.3 Preview before release. At least three business days before the Episode is published, the Company will place the Promotional Clips prepared for the release in a shared online drive for the Guest to review. The Guest may flag factual errors or misleading edits, and the Company will correct them in good faith. The Guest may use and repurpose the Promotional Clips in the shared drive as described in Section 2.5. The Company makes the final decision on all other editorial matters.

3.4 Corrections after publication. If the Guest identifies a material misrepresentation in the Episode or a Promotional Clip after publication, the Company will correct or remove the affected portion within 10 business days of written notice.

3.5 AI and synthetic media. The Company may use AI tools for transcription, captions, audio cleanup, summaries, and show notes. The Company will not, without the Guest’s separate written consent, (a) create a synthetic or cloned voice, digital replica, or altered likeness of the Guest, (b) generate new statements attributed to the Guest, or (c) use the Recording to train or fine-tune a generative AI model.

4. Name, Likeness, and Biography

4.1 Permitted use. The Guest authorizes the Company to use the Guest’s name, professional title, approved photograph, approved biography, voice, and likeness as they appear in the Recording, solely to publish and promote the Episode and the Podcast on the Podcast’s website, newsletter, social channels, and paid placements that promote the Episode.

4.2 No endorsement or merchandise. The Company will not use the Guest’s name, likeness, voice, or biography to advertise or endorse any other product or service, including merchandise, books, software, courses, or the offerings of the Company’s affiliates, and will not state or imply that the Guest endorses them. Listing the Guest as a past guest of the Podcast is permitted.

4.3 Materials supplied by the Guest. The Guest will supply a biography and headshot for the Company to use as provided. The Company will not publish private or non-public information about the Guest beyond what the Guest supplies or says in the Interview.

4.4 Credit. The Company will credit the Guest by name and title in the Episode description and will link to the website the Guest designates.

5. Confidentiality and the Guest’s Right to Promote

5.1 Guest may promote. The Guest may announce and promote the Guest’s appearance on the Podcast, including statements such as “I was a guest on the Breakfast Leadership Show,” on LinkedIn, the Guest’s website, and any other channel, and may share the Episode link and Promotional Clips. Before the Company confirms the release date, the Guest will limit announcements to the fact that the Guest has been interviewed.

5.2 Limited confidentiality. Until the Episode is published, each party will keep the unreleased contents of the Recording and the other party’s non-public business information confidential, except for disclosures to its lawyers, agents, and advisors who are bound to keep them confidential, or disclosures required by law.

5.3 After publication. Once the Episode is published, nothing in this Release restricts the Guest from discussing the Interview, the Episode, or the Guest Content.

6. Claims, Termination, Assignment, and Governing Law

6.1 Limited release. The Guest releases the Company and its officers and agents from claims for invasion of privacy and violation of publicity rights arising from uses of the Recording, name, and likeness that this Release permits. This release does not cover (a) a breach of this Release, including Sections 3 and 4, (b) uses outside the scope of this Release, or (c) defamatory or intentionally misleading edits.

6.2 Equitable relief. The Guest may seek injunctive relief to stop a use that breaches Section 3.5 or Section 4.2 or falls outside the scope of this Release. The Guest will not seek to prevent publication of the Episode as edited in accordance with this Release.

6.3 Termination. Before the Episode is published, either party may terminate this Release by written notice, and the appearance fee is not refundable, except for the credit described in Section 2.7. After publication, the Guest may withdraw consent to new promotional uses of the Guest’s name and likeness on 30 days’ written notice, and the Company will stop new promotional uses within that period. The published Episode and uses made before the notice remain licensed. Withdrawal under this Section does not entitle the Guest to a refund or credit of the appearance fee.

6.4 Assignment. The Company may assign this Release only to a successor that acquires the Podcast, and only if the successor agrees in writing to be bound by it. The Company may not assign the right to use the Guest’s name or likeness separately from the Podcast. The Guest may not assign this Release without the Company’s written consent.

6.5 Warranties. The Guest confirms that the Guest is at least 18 years old, has the authority to enter into this Release, will share only information the Guest believes to be accurate, and is not bound by any agreement that this Release would breach.

6.6 Indemnity. Each party will defend and indemnify the other against third-party claims arising from its own breach of this Release. The Company’s obligation includes claims arising from its edits, additions, or uses outside the scope of this Release.

6.7 Governing law and disputes. This Release is governed by the laws of the State of California, without regard to conflict of law rules. The parties will first try to resolve any dispute through written notice and 30 days of good-faith discussion. After that, any claim may be brought only in the state or federal courts located in San Diego County, California, and each party consents to those courts’ jurisdiction.

6.8 General. This Release is the parties’ entire agreement on its subject and replaces earlier understandings. It may be changed only in a writing signed by both parties. If any term is unenforceable, the rest remains in effect.

7. Acceptance

By scheduling the Interview, the Guest confirms that the Guest has read this Release, has had the opportunity to consult a lawyer, and understands that the Guest is granting the Company the license described above and releasing the claims described in Section 6.1. No signature or checkbox is required.
